Strategy Launches STRD Preferred Shares Offering 10% Yield to Strengthen Capital Stack

Strategy (MSTR) has expanded its suite of preferred equity instruments with the introduction of the Series A Stride Preferred Stock (STRD), a perpetual preferred share designed to provide investors with attractive long-term income.

Offering a 10.00% fixed, non-cumulative dividend, STRD sits below the firm’s senior preferred shares (STRF) but above the convertible preferred shares (STRK) in the capital hierarchy, balancing yield and risk within Strategy’s structured capital framework.

STRF shares, with their senior claims and overcollateralized structure, target lower volatility and resemble investment-grade debt, while STRD shares, though junior, deliver the highest fixed income return across the firm’s preferred offerings.

Convertible preferred STRK shares offer an 8% dividend and the potential for equity conversion, providing a hybrid risk-return profile. The company’s common stock (MSTR) remains the foundational leveraged bitcoin exposure in the capital stack.

STRD shares are non-callable except under specific conditions such as a fundamental corporate event or tax-related scenarios. Dividends are discretionary and paid quarterly when declared by Strategy’s board.

From a market perspective, STRD’s 10% yield and zero management fees make it an appealing alternative to widely held preferred and high-yield bond ETFs like PFF (7% yield, 0.46% fees) and USHY (8% yield, 0.08% fees), while offering similar volatility characteristics.

This issuance supports Strategy’s broader mission to build a diversified capital structure, offering investors a range of yield and risk profiles—from stable income options to high-conviction digital asset plays—tailored for today’s evolving financial environment.
