Institutions Are Set for MicroStrategy’s Preferred Stock Sale, Analysts Predict.

MicroStrategy Introduces Perpetual Preferred Stock Offering, Sparking Institutional Interest

MicroStrategy (MSTR), a leader in creative capital-raising efforts to fund its Bitcoin (BTC) acquisitions, has unveiled a new financial instrument this week—a perpetual preferred stock offering (STRK). Under the direction of Executive Chairman Michael Saylor, the company continues to push boundaries with its capital strategies.

Preferred stock sits between equity and debt on a company’s balance sheet, providing investors with bond-like returns while also offering an ownership stake in the company.

Ben Werkman, a respected analyst of MicroStrategy, commented on X about the growing appeal of preferred stock for institutional investors. He pointed to the instrument’s lack of maturity risk, stable yield, and potential for equity upside as key factors.

“I could see a scenario where preferred stock replaces some convertible bond positions in fixed-income portfolios due to the absence of maturity risk,” Werkman noted. “Preferred stock can be far more accretive than convertible bonds and certainly more beneficial than direct share sales.”

Jeff Park, the head of alpha strategies at Bitwise Investments, described MicroStrategy’s preferred stock offering as one of the most compelling investment opportunities currently on the market, labeling it a next-gen financial tool.

“STRK is a near-perfect instrument,” Park wrote. “It offers two ways to win: If interest rates fall, it boosts the principal; if MicroStrategy’s price rises, you can convert and own a more volatile asset or sell it.”

The BlackRock iShares Preferred and Income Securities ETF (PFF), the largest U.S. preferred stock ETF, manages approximately $15 billion in assets. Its biggest holders include top corporations like Boeing (BA), Wells Fargo (WFC), and Citi Group (C).

MicroStrategy is expected to announce the final pricing details for its new perpetual preferred stock offering after the market closes on Thursday.
