Evernorth Listing Raises Questions Over a $677M XRP Valuation Mismatch

Evernorth began trading on Nasdaq as XRPN on Monday, October 12, with around 473 million XRP and $300 million in gross cash. At the closing reference price, however, its XRP reserves were worth approximately $677 million, falling well short of the more than $1 billion funding figure cited in earlier reports.

The Nasdaq debut gives investors access to XRP exposure through a conventional brokerage account without requiring them to hold the cryptocurrency directly. Still, the difference between the original funding narrative and the treasury’s closing valuation highlights several trade-offs, including XRP price fluctuations, a limited supply of publicly traded shares, and potential dilution.

Evernorth finalized its business combination with special purpose acquisition company Armada Acquisition Corp. II on Friday, October 9. The $677 million valuation reflects an XRP price of $1.43, compared with $2.37 when the deal was signed in October 2025. This marks a decline of about 40% between the two reference points.

Before the listing, Evernorth’s holdings of approximately 473 million XRP were central to investor expectations. The lower valuation shows how rapidly movements in the token’s price can affect the financial outlook for a company built around digital asset holdings.

XRPN Offers Stock-Market Access to XRP Exposure

Investors can buy XRPN through a regular brokerage account instead of purchasing and storing XRP themselves. However, the shares are not a direct substitute for the token. They represent ownership in a company with cash reserves, operating plans, expenses, and financing commitments, meaning the stock price may move differently from XRP or the value of Evernorth’s assets.

Evernorth is part of the digital asset treasury (DAT) sector, where market-value-to-net-asset-value, or mNAV, is a key valuation measure. It compares a company’s market capitalization with the net value of its cryptocurrency holdings and other assets.

When a company trades at a premium to its net asset value, it may be able to issue shares at favorable valuations and use the proceeds to purchase more tokens. If its shares trade below net asset value, issuing additional stock can dilute existing shareholders and reduce their proportional ownership of the business.

The SPAC merger also left XRPN with a narrow initial public float. Approximately 80.3% of Armada’s public shareholders, representing 18.5 million shares, redeemed their holdings at roughly $10.58 per share. The redemptions removed about $195 million before the transaction closed, leaving approximately 4.5 million original public shares available for trading. With so few shares in circulation, relatively small orders can trigger significant price movements.

XRPN’s trading history around the merger demonstrates this volatility. The stock reached an intraday high of $53 on October 2 and closed that Friday at $39.42. By October 9, when the merger was completed, it had fallen to $17.09. During its first Nasdaq session, the shares briefly approached $19 before declining to $16.64 by midday.

Ownership concentration also shapes the investment picture. Filing data cited in the source identifies SBI Holdings as holding 39.9% of voting shares, an Arrington Capital fund as owning 19.9%, and Ripple co-founder Chris Larsen as holding a 9.9% interest. Ripple and its affiliates are restricted to 9.9% of voting power. Ripple, a trust linked to Larsen, and Arrington’s fund are also subject to six-month lock-up agreements that prevent them from selling shares until April 2027.

XRP Prices and Treasury Execution Will Influence Evernorth’s Outlook

Evernorth plans to pursue more than passive XRP ownership. Its strategy includes generating yield through decentralized finance (DeFi) and operating validators on the XRP Ledger, with the objective of increasing the amount of XRP attributable to each share. On October 12, the company appointed Hugo Jeandesboz, formerly co-chief investment officer at Coinbase Asset Management, to lead these initiatives.

These plans introduce additional execution risks beyond the cryptocurrency’s price volatility. DeFi yield strategies may involve protocol and operational risks, while operating costs, future stock issuance, and decisions about managing the treasury will affect the value available to shareholders.

The company’s $300 million in gross cash offers a separate pool of capital, but the amount is measured before transaction expenses. It also does not eliminate the valuation sensitivity created by a treasury heavily concentrated in XRP.

For investors following developments in the XRP ecosystem, a higher token price could increase the value of Evernorth’s holdings. However, that would not automatically establish that XRPN is trading at a fair mNAV or that management is increasing the amount of XRP represented by each share. Conversely, a discount to net asset value could make fundraising more difficult, even if the company continues to maintain a substantial XRP reserve.

Evernorth’s Nasdaq listing turns its XRP treasury strategy into a publicly traded equity, allowing investors to assess its premium or discount through the stock price rather than relying solely on private fundraising valuations. The company’s next planned public milestone is a Nasdaq closing-bell ceremony on Wednesday, October 14. Its warrants trade separately under XRPNW, giving holders the right to purchase shares at $11.50 each.
